Alpha Assets is an online marketplace where accredited investors, institutional funds and family offices invest in projects from multiple real asset classes through dedicated platforms (Real Estate, Maritime, Energy, Agriculture, and Public Infrastructure. Alpha Assets, through its branded websites, will market investments to US accredited investors (relying on Rule 506(c) of the Securities Act of 1933) and qualifying international investors pursuant to Regulation S. Alpha Assets provides the underlying technology platform that will facilitate the operation of multiple sub-sector platforms that will source and syndicate investments. Alpha Assets provides a shared service center to manage the administrative, regulatory and compliance requirements of the independent platforms while also providing a common secondary trading platform for all investments on platforms affiliated with Alpha Assets. The offerings are conducted under an exemption from SEC registration. By operating under an exemption from the full registration requirements of the Securities Act of 1933, private placements (regulation D offerings) are private offerings permitted to raise an unlimited amount of money but are limited in terms of the number of unaccredited and accredited investors that can be engaged. It is important to note that even securities exempt from certain registration are still subject to all of the antifraud provisions of the Securities Act of 1933, which requires issuers to provide accurate information regarding any securities offered to the public.
