บมจ.อสมท รัฐวิสาหกิจ สังกัดสำนักนายกรัฐมนตรี จดทะเบียนจัดตั้งในรูปบริษัทมหาชน จำกัด เมื่อวันที่ 17 สิงหาคม 2547 ด้วยการแปลงสภาพจากองค์การสื่อสารมวลชนแห่งประเทศไทย (อ.ส.ม.ท.) ตามพระราชบัญญัติทุนรัฐวิสาหกิจ พ.ศ. 2542 และจดทะเบียนในตลาดหลักทรัพย์แห่งประเทศไทย เมื่อวันที่ 8 ตุลาคม 2547 โดยดำเนินการกระจายหุ้นสู่มหาชน เมื่อวันที่ 17 พฤศจิกายน 2547 บมจ. อสมท มีภารกิจในการประกอบกิจการด้านสื่อสารมวลชน ประกอบด้วยธุรกิจหลักที่ดำเนินการเอง ได้แก่ กิจการสถานีโทรทัศน์โมเดิร์นไนน์ กิจการสถานีวิทยุกระจายเสียง และสำนักข่าวไทย รวมทั้งได้จัดตั้งบริษัทย่อย อีก 2 บริษัท คือ บริษัท พาโนราม่า เวิลด์ไวด์ จำกัด ดำเนินธุรกิจด้านการผลิตรายการและสารคดีโทรทัศน์ และบริษัท ซี้ดเอ็มคอท จำกัด ดำเนินธุรกิจประกอบกิจการด้านบันเทิงทุกประเภท ผลิตเพลงและผลิตภัณฑ์ดิจิตอลอื่นๆ พัฒนาสินค้าและจำหน่ายสินค้าพรีเมี่ยม นอกจากนี้ยังร่วมดำเนินกิจการกับผู้ประกอบการเอกชนอื่นๆ ภายใต้สัญญาร่วมดำเนินกิจการ ได้แก่ บริษัท บางกอกเอ็นเตอร์เทนเม้นต์ จำกัด ดำเนินกิจการส่งโทรทัศน์ ไทยทีวีสี ช่อง 3 และกลุ่มบริษัท ทรู วิชั่นส์ จำกัด (มหาชน) ดำเนินกิจการให้บริการโทรทัศน์บอกรับเป็นสมาชิก True Visions
