9. Samas N.V. companies shall not make payments to political parties and organisations or to their representatives. Community involvement is encouraged; donations of time and support to charities will vary depending upon the size of the Operational Company concerned. 10. Samas N.V. accounting records and supporting documents must accurately describe and reflect the nature of the underlying transactions. No undisclosed or unrecorded account, fund or asset shall be established or maintained. 11. Samas N.V. employees have an absolute duty to refrain from trading in Samas N.V. securities when they have possession of material non-public information concerning Samas N.V. and they are bound to the Samas N.V. rules and statutory requirements concerning inside information. Samas N.V. employees shall not trade the securities of any corporation with which Samas N.V. is involved in negotiations to acquire the shares or assets of such corporation or to enter into a material business transaction which, if consummated, would have a material effect on the value of the securities of that corporation if such transaction was disclosed to the public. 12. Samas N.V. management - at all levels - is responsible, within their spheres of influence, for supervising compliance with the Management Charter, including this Code of Conduct, authority limits and further Group's manuals and guidelines. Once a year management is required to confirm in writing that they have complied with Samas N.V.'s Management Charter according to the format indicated by Samas N.V.
